Terms of use

Provider: Aurion Dynamics, a sole proprietorship (eenmanszaak) registered in the Netherlands under KvK number 96918756, owned and operated by Jeroen Kopczinski (“Aurion Dynamics”, “we”, “our”, “us”)

Product: Phaseplane – a web-based application for business diagnosis and decision support, and the related websites. Phaseplane is a product operated by Aurion Dynamics.

1. Acceptance of Terms

By creating an account or using Phaseplane (“Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, whether acting as individuals or on behalf of an organization. Use of our public websites (including the introduction and support forms) is also subject to our Privacy Policy where it applies.

2. Eligibility

You must be at least 18 years old (or the age of majority in your country) to use Phaseplane. If you use Phaseplane on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. The Service

Phaseplane is a web-based application that helps users understand complex business problems through structured input, evidence, AI-supported analysis and decision-support features. We continually improve and may update or change the Service at any time, with or without notice.

4. Account and Workspace Management

• Accounts are created through our authentication provider (Clerk).
• You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
• Workspaces are user- or organization-managed containers of data (such as situation descriptions, evidence, analyses and decisions).
• You remain solely responsible for the accuracy, legality, and appropriateness of data entered into your workspace(s).

5. User Data and Ownership

You retain ownership of all content you enter into Phaseplane (such as situation descriptions, evidence and decisions). By using the Service, you grant us a limited license to process that data solely to provide and improve the Service. We do not claim ownership of your data.

6. Intellectual Property

All rights, title, and interest in Phaseplane, including its design, code, and content (excluding user-provided data), remain the exclusive property of Aurion Dynamics. You may not copy, distribute, reverse engineer, or otherwise exploit Phaseplane except as permitted by these Terms or with our written permission.

7. Payments

• If you subscribe to Phaseplane through our online checkout, payments are processed by Stripe.
• Pricing and billing terms are displayed at the time of subscription.
• Subscriptions automatically renew unless cancelled prior to the renewal date.
• Design partnerships are paid engagements; their scope and pricing are agreed with you before the engagement begins.

8. No Professional Advice

Phaseplane provides AI-supported analyses and recommendations. You acknowledge and agree that:

• The Service is for informational purposes only.
• The Service does not constitute legal, financial, medical, or professional advice.
• You remain solely responsible for all decisions and actions taken based on recommendations or outputs generated by Phaseplane.

We expressly disclaim all liability arising from reliance on the Service for decision-making.

9. Prohibited Use

You may not use Phaseplane to:

• Violate laws or regulations.
• Upload unlawful, harmful, or sensitive personal data (such as health or political information).
• Interfere with or disrupt the Service.
• Attempt to reverse engineer or gain unauthorized access.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms, misuse the Service, or we reasonably believe termination is necessary to protect the Service or other users. You may stop using Phaseplane at any time. Data deletion is governed by our Privacy Policy.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

• We do not guarantee that the Service will be uninterrupted, secure, or error-free.
• We do not guarantee that outputs generated by AI will be accurate, reliable, or suitable for your specific use case.

12. Limitation of Liability

To the maximum extent permitted by law: Aurion Dynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim (or €100 if you used the Service for free).

13. Indemnification

You agree to indemnify and hold harmless Aurion Dynamics and its owner against all claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance.
